#MASKNMOVE BY NATURE CHALLENGE

OFFICIAL RULES & TERMS AND CONDITIONS

These Official Rules are available at https://bynatureskincare.com/pages/masknmove-competition-terms-and-conditions during the Sweepstakes Period and for ninety (90) days thereafter.

ELIGIBILITY

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

The #masknmove By Nature Challenge (the "Sweepstakes") is open only to legal residents of the fifty (50) United States and the District of Columbia, excluding residents of New York, Florida, and Rhode Island, who are eighteen (18) years of age or older at the time of entry. Employees, officers, and directors of By Nature From New Zealand Limited ("Sponsor"), Lanocorp USA INC, their parent companies, affiliates, subsidiaries, advertising and promotion agencies, and the immediate family members (spouse, parent, child, sibling, and their respective spouses, regardless of where they reside) and household members of each such employee, officer, or director are not eligible to enter or win.

The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited or restricted by law.

SWEEPSTAKES PERIOD

The Sweepstakes begins at 12:00:01 AM Eastern Time ("ET") on November 22, 2025 and ends at 11:59:59 PM ET on December 16, 2025 (the "Sweepstakes Period"). For purposes of these Official Rules, all references to time are ET. Sponsor's computer is the official timekeeping device for this Sweepstakes.

Daily Entry Periods: The Sweepstakes Period is divided into seventeen (17) Daily Entry Periods for purposes of the Daily Pink Box Prize drawings. Daily Entry Periods correspond to weekdays (Monday through Friday) only. Entries received on weekends (Saturday and Sunday) will be included in the next Monday's Daily Entry Period drawing.

The seventeen (17) Daily Entry Periods are as follows:

HOW TO ENTER

There are three (3) ways to enter. All entries must be received during the Sweepstakes Period.

METHOD 1: MAIL-IN ENTRY (NO PURCHASE NECESSARY)

To enter via mail, hand-print or type your full name, complete mailing address (no P.O. Boxes), email address, telephone number, date of birth, and a "glow story" (50-200 words describing your skincare journey or how By Nature products have helped you achieve your skincare goals) on a 3" x 5" card or piece of paper and mail it in an envelope with proper postage to:

IMPORTANT:

Limit one (1) mail-in entry per outer envelope.
All mail-in entries must be received by December 16, 2025.
Mechanical reproductions are not permitted.
Mail-in entries received will be entered into all remaining Daily Entry Period drawings and the Grand Prize drawing.
"Glow stories" must be between 50-200 words; entries without a glow story or with stories that do not meet length requirements will be disqualified.

METHOD 2: ONLINE ENTRY (NO PURCHASE NECESSARY)

Visit https://bynatureskincare.com/pages/masknmove-campaign and complete the online entry form by providing your full name, complete mailing address (no P.O. Boxes), email address, telephone number, date of birth, and a "glow story" (50-200 words describing your skincare journey or how By Nature products have helped you achieve your skincare goals). Click "Submit" to complete your entry.

IMPORTANT:

Limit one (1) online entry per person per day during the Sweepstakes Period.
All online entries must be submitted by 11:59:59 PM ET on December 16, 2025.
Entries submitted via online form on each day will be entered into the applicable Daily Entry Period drawing (if applicable) and the Grand Prize drawing.
"Glow stories" must be between 50-200 words; entries without a glow story or with stories that do not meet length requirements will be disqualified.

METHOD 3: SOCIAL MEDIA ENTRY (NO PURCHASE NECESSARY)

To enter via TikTok:

(a) Use the "By Nature Sheet Mask" filter available on TikTok

(b) Create and post a video to TikTok using the filter, showing yourself wearing the filter

(d) Tag both @bynatureskincare and @walmart TikTok accounts in your post

(e) Ensure your TikTok account is set to "Public" (not private) during the Sweepstakes Period

(f) All social media entries must be posted by 11:59:59 PM ET on December 16, 2025

IMPORTANT:

Limit one (1) social media entry per person per day during the Sweepstakes Period.
Your TikTok account username must be consistent for verification purposes.
Entries that do not meet all requirements (filter use, hashtag #masknmove, tags @bynatureskincare and @walmart, and public account) will be disqualified.
Sponsor reserves the right to verify compliance with all entry requirements, including proper use of the designated filter, hashtag, and account tags, through monitoring and verification tools. Entries that do not comply with all requirements may be disqualified at Sponsor's sole discretion.
Social media entries posted on each day will be entered into the applicable Daily Entry Period drawing and the Grand Prize drawing.
By entering via social media, you acknowledge that TikTok and Walmart are not sponsors of this Sweepstakes and release TikTok and Walmart from any liability related to this Sweepstakes.

GENERAL ENTRY CONDITIONS

Maximum Entries: Regardless of entry method, each entrant may obtain a maximum of one (1) entry per day during the Sweepstakes Period, for a maximum total of 25 entries. Entrants using multiple entry methods on the same day will receive only one (1) entry for that day. An entrant who submits entries via multiple methods on the same day will have only one (1) entry counted for that day.

Weekend Entries: Entries received on weekends (Saturday and Sunday) will be included in the next Monday's Daily Entry Period drawing. For example, entries received on Saturday, November 22 and Sunday, November 23 will be included in the Monday, November 24 drawing.

All entries become the property of Sponsor and will not be acknowledged or returned.
Proof of submission does not constitute proof of receipt.
Use of automated entry devices, bots, or programs is prohibited and will result in disqualification.
Entries generated by script, macro, bot, or other automated means are void.
Sponsor is not responsible for lost, late, incomplete, invalid, illegible, misdirected, or postage-due entries.

LICENSE GRANT FOR USER-GENERATED CONTENT

By submitting an entry that includes user-generated content (including but not limited to TikTok videos, "glow stories," images, or other creative materials), you hereby grant to Sponsor, its parent companies, affiliates, subsidiaries, and advertising agencies a perpetual, worldwide, irrevocable, royalty-free, non-exclusive license and right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content (in whole or in part) in any media now known or hereafter developed, for any purpose, including but not limited to marketing, advertising, and promotional purposes, without further compensation, notification, or permission. You represent and warrant that you own or have secured all rights necessary to grant this license and that the content does not infringe upon any third-party rights.

CONTENT REQUIREMENTS & RESTRICTIONS

All content submitted as part of any entry (including "glow stories" and social media content) must:

Be original content created by the entrant
Not contain material that violates or infringes any rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights
Not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous
Not contain material that promotes bigotry, racism, hatred or harm against any group or individual
Not contain material that is unlawful or encourages unlawful activity
Not contain any information that references other companies, commercial entities, or brand names (other than those required for entry)
Not contain personal identification information about others (e.g., names, addresses, phone numbers) without their consent

Sponsor reserves the right, in its sole discretion, to disqualify any entry that does not comply with these requirements.

PRIZE DRAWINGS & ODDS OF WINNING

DAILY PINK BOX PRIZE DRAWINGS (17 PRIZES)

Drawing Process: One (1) potential Daily Pink Box Prize winner will be selected via random drawing from all eligible entries received during each Daily Entry Period. Daily Entry Period drawings are conducted on weekdays (Monday through Friday) only. Entries received on weekends will be included in the following Monday's drawing.

Each Daily Entry Period drawing will be conducted on or about the same weekday as the Daily Entry Period closes, as shown in the schedule above.

Prize: Each Daily Pink Box Prize consists of a By Nature Vitamin C skincare product bundle. ARV of each Daily Pink Box Prize: US$180. Total ARV of all Daily Pink Box Prizes: US$3,060.

GRAND PRIZE DRAWINGS - GOLD BOXES (4 PRIZES)

Drawing Process: Four (4) potential Grand Prize winners will be selected via random drawing from all eligible entries received during the entire Sweepstakes Period. Daily Pink Box Prize winners are NOT eligible to win a Grand Prize. The Grand Prize drawing will be conducted on or about December 18, 2025.

Prize: Each Grand Prize ("Gold Box") consists of:

One (1) DJI Osmo Pocket 3 camera
Four (4) 40 oz insulated tumblers
One (1) insulated carry-all bag
By Nature skincare product assortment

ARV of each Gold Box Grand Prize: US$740. Total ARV of all Grand Prizes: US$2,960.

ODDS OF WINNING

Odds of winning depend on the total number of eligible entries received.

Odds of winning a Daily Pink Box Prize depend on the number of eligible entries received during the applicable Daily Entry Period.
Odds of winning a Grand Prize depend on the total number of eligible entries received during the entire Sweepstakes Period, minus any Daily Pink Box Prize winners.
An entrant who enters every day of the Sweepstakes Period will have multiple chances to win Daily Pink Box Prizes and increased odds of winning a Grand Prize.

Maximum Prizes per Person: Each entrant may win only one (1) prize during the Sweepstakes Period (either one Daily Pink Box Prize OR one Gold Box Grand Prize). If an entrant is selected as a potential winner more than once, the subsequent prize(s) will be forfeited and awarded to an alternate winner selected by random drawing. Daily Pink Box Prize winners are automatically excluded from the Grand Prize drawing.

TOTAL ARV OF ALL PRIZES: US$6,020

WINNER NOTIFICATION & VERIFICATION

Potential winners will be notified via email and/or telephone and/or direct message on the social media platform used to enter within approximately five (5) business days following the applicable drawing. Each potential winner will be required to respond to the notification within seventy-two (72) hours and provide verification of eligibility, including:

Signed Affidavit of Eligibility and Liability/Publicity Release (where permitted by law)
Completed IRS Form W-9
Proof of age (date of birth) and residency

The Affidavit must include the potential winner's date of birth for age verification purposes and confirmation that the potential winner is a legal resident of an eligible state (not a resident of New York, Florida, or Rhode Island). Date of birth information is collected solely for the purpose of verifying that winners meet the minimum age requirement of eighteen (18) years or older and for tax reporting purposes as required by law.

All required documentation must be completed and returned within seven (7) days of notification. Failure to respond within the specified time period, failure to provide required documentation, or the return of any prize/prize notification as undeliverable may result in disqualification and selection of an alternate winner.

Grand Prize Winners Only: Grand Prize winners will be required to sign and return additional documentation, including a liability waiver and, where permitted by law, a publicity release.

If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner selected by random drawing from among the remaining eligible entries.

PRIZE CONDITIONS & RESTRICTIONS

Prizes are non-transferable, non-assignable, and no substitution or cash equivalent is permitted, except by Sponsor due to prize unavailability, in which case a prize of equal or greater value will be awarded.
Winners are responsible for all applicable federal, state, and local taxes (if any) as well as any other costs and expenses not specified herein.
Grand Prize winners (prizes with an ARV of $600 or more) will receive IRS Form 1099-MISC for tax reporting purposes. Tax forms will be requested and processed by the Sponsor's CPA after the drawing is complete.
All prizes will be awarded provided a sufficient number of eligible entries are received.
Prizes will be fulfilled by Lanocorp USA INC, Sponsor's US-based fulfillment partner, and will be shipped from the Sponsor's Chatsworth, California warehouse. Prizes will be sent within 6-8 weeks after winner verification is complete and all required documentation is received.
All Grand Prize components (DJI Osmo Pocket 3 cameras, tumblers, bags, and products) will be shipped via standard ground shipping to verified Grand Prize winners' US mailing addresses; Sponsor is not responsible for camera activation, setup, or service fees.
Daily Pink Box Prize and Grand Prize contents are determined by Sponsor and may vary; ARV is based on suggested retail prices.
All federal, state, and local laws and regulations apply.

PUBLICITY RIGHTS

Except where prohibited by law, entry into the Sweepstakes constitutes permission for Sponsor to use each winner's name, likeness, voice, biographical information, statements, and entry content (including "glow stories" and user-generated content) for advertising and promotional purposes without additional compensation or approval.

GENERAL CONDITIONS

Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be: (a) tampering with the entry process or operation of the Sweepstakes; (b) acting in violation of these Official Rules; or (c) acting in an unsportsmanlike or disruptive manner.
If, for any reason, the Sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond Sponsor's control that corrupt or affect administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes.
Sponsor is not responsible for any incorrect or inaccurate information, whether caused by website users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes.
Sponsor is not responsible for injury or damage to participants' or to any other person's computer or property related to or resulting from participating in this Sweepstakes.
Persons who tamper with or abuse any aspect of the Sweepstakes, or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified.
Use of bots, automated systems, or any device to submit entries is prohibited and will result in disqualification.

RELEASE & LIMITATIONS OF LIABILITY

By entering, each entrant agrees to release and hold harmless Sponsor, Lanocorp USA INC, TikTok, Walmart Inc., and their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives, and agents (collectively, the "Released Parties") from any and all liability for any injuries, loss, claim, action, demand, or damage of any kind arising from or in connection with the Sweepstakes or any prize won, including without limitation:

(a) any condition caused by events beyond Sponsor's control that may cause the Sweepstakes to be disrupted or corrupted;

(b) any injuries, losses, or damages (compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of the prize, or acceptance, possession, or use of the prize, or from participation in the Sweepstakes; and

IMPORTANT NOTICE REGARDING TIKTOK AND WALMART: This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with TikTok or Walmart Inc.. By entering via social media, you acknowledge that you are providing your information to By Nature From New Zealand Limited, not to TikTok or Walmart. You understand that TikTok and Walmart have no responsibility for the Sweepstakes and release TikTok and Walmart from all liability related to this Sweepstakes. Any questions, comments, or complaints regarding the Sweepstakes should be directed to Sponsor, not to TikTok or Walmart.

DISPUTES & GOVERNING LAW

Except where prohibited, by entering this Sweepstakes, each entrant agrees that:

Any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class, collective, consolidated, or representative action;
All disputes shall be resolved exclusively and finally by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, and judgment on the arbitration award may be entered in any court having jurisdiction thereof;
The place of arbitration (or, if not applicable, the exclusive venue for any permitted court proceedings) shall be Kent County, Delaware, and the arbitration (or any court proceeding) shall be governed by the laws of the State of Delaware, without regard to its conflicts of law provisions;
Entrant waives any right to a trial by jury;
Any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys' fees;
Under no circumstances will any entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased;
If any provision of these Official Rules is found to be invalid or unenforceable, that provision shall be severed from the remainder, which shall remain in full force and effect.

PRIVACY POLICY

Information collected from entrants is subject to Sponsor's Privacy Policy available at https://bynatureskincare.com/policies/privacy-policy. By entering, entrants acknowledge they have read and agree to Sponsor's Privacy Policy.

Entry information will be used to administer the Sweepstakes, notify winners, and fulfill prizes. By entering, entrants consent to receive promotional emails from Sponsor. Entrants may opt out of future promotional communications at any time.
